hereinafter referred to as TOUR AGENT, which is legally authorized to deal in the sphere of tourism according to the legislation of Russia and here presented by Mr. ............... on the one side, and «ERAY TOUR» hereinafter referred to as TOUR OPERATOR, which is legally authorized to deal in TOURISM spheres according to the legislation of the Turkey and here presented by Mr. Burak AKPINAR, Manager, on the other side, have concluded the present AGREEMENT as follows:
1. THE SUBJECT OF THE AGREEMENT
The subject of the present AGREEMENT is cooperation in the development of international TOURISM between RUSSIA and the TURKEY on commercial basis.
2. OBLIGATIONS OF THE PARTIES.
2.1. TOUR AGENT shall send and TOUR OPERATOR shall receive tourists from
RUSSIA to the TURKEY. Transportation of tourists to the TURKEY and back is the responsibility of TOUR AGENT, if it is not agreed upon otherwise in a separate APPENDIX to the present AGREEMENT.
2.2.TOUR AGENT shall inform TOUR OPERATOR about the number of coming tourists and groups for making hotel reservations at least 7 days before the arrival as well as send the following information for visas preparation at least 5 days before the arrival:
- Full name;
- Date and place of birth;
- Citizenship;
- Passport number;
- Date and place of issue
- Date of expiry of the passport
2.4. The local Immigration authorities in the TURKEY will have the sole authority to issue or refuse the visa application. In the event of any refusal of visas, TOUR OPERATOR shall not be held responsible for the additional costs and losses incurred by TOUR AGENT. However every effort will be made by TOUROPERATOR to obtain all necessary visas.
2.6.TOUR OPERATOR shall provide the following services:
- Meeting and assistance at the airport on tourists arrival/departure;
- Hotel accommodation on half board, full board, all inclusive or ultra all inclusive basis (as requested);
- Transfers of tourists and their luggage airport-hotel-airport.
Excursions on request, which will be charged extra..
All services mentioned above will be provided on commercial basis according to process mentioned in appendixes to the present AGREEMENT.
2.7. Under the rates given as in APPENDIX ONE minimum number of tourists per group shall not be less than 10 (ten) full paying persons. In the event of less than 10 persons they are considered as individuals and shall pay to TOUR for the provided services in accordance with the rates for individual tourists.
3. THE CANCELLATION.
3.1. The latest cancellation for hotel reservation without any penalty will be accepted minimum 7 (seven) days before of arrival, unless otherwise stated in Appendix-1 to the present AGREEMENT,
3.2. In case the cancellation is made less than 7 (seven) days before the arrival, or one or more tourists do not arrive with the group for whatever the reasons, visa charges and room charges for one day should be paid to TOUR OPERATOR.
4. PAYMENTS.
All payments TOUR AGENT shall transfer to TOUR OPERATOR to the TOUR OPERATOR'S bank account in the USD according to invoice of TOUR OPERATOR. Payments may be current or in advance. Statement of services effected is to be signed by both parties after execution of the obligations.The TOUR AGENT should make the payment to the TOUR OPERATOR'S account three days before the c/ın of the guests to the hotel.
5. GENERAL.
5.1. In case any of parties is unable to fulfill their obligations under the present AGREEMENT because of FORCE MAJEURE (Act of God, fire, military actions, strikes, the decisions of Government, Immigration, Customs and other slate authorities as well as their representatives), the parties shall be released from any responsibility on the present AGREEMENT.
5.2. The TOUR OPERATOR has the right to change one hotel to the other but of the same class in case of necessity (pick of season, festivals, holiday etc.).
5.3. The parties are not liable for any changes in schedule or delay of transports, losses of luggage, jewellery, money, documents, misconduct of tourists and other incidents. However the parties will take all possible measures in order to eliminate the reasons of the conflict and render the tourist possible and reasonable help.
5.4. The payment for all kinds of medical treatment should be done by TOUR AGENT or by tourist himself, except emergency cases when the first aid is provided free of charge by the State.
5.5. In case of death of any of tourists TOUR OPERATOR shall secure all the necessary formalities connected with the transportation of dead body back to his country on the account of TOUR AGENT.
6. SPECIAL TERMS
The contents of the AGREEMENT as well as appendixes to it and other documents which constitute its Integral part, the information about the prices and volume of the services, and any other information concerning the subject of the AGREEMENT are regarded as commercial information and are not be transferred to the third party except with the written consent of the parties of the present AGREEMENT.
7. ARBITRATION.
7.1. All disputes and differences which may arise from the improper execution or non-execution of the present AGREEMENT or in connection with it are to be solved by negotiations between the parties.
7.2. In case the parties will not come to the
agreement the disputes are to be referred to Arbitration Court. The decision of the Arbitration Court is final and binding for both parties.
8. VALIDITY OF THE AGREEMENT.
8.1. The present AGREEMENT comes into force from the date of signing by the parties. Its validity is extended for one year, automatically renewable except one of the parties serve a notice a month before the end of the AGREEMENT.
8.2. The present AGREEMENT may be cancelled by a written notice of the party not less than a month before, after which the AGREEMENT is considered cancelled. The notification date shall be the date of the letter reception.
8.3. The parties undertake to effect all mutual financial and other settlements not later than 15 days before the cancellation of the AGREEMENT.
